These Terms of Use (“Terms”) govern your access to and use of the Prismforce applications, platforms, websites, and related services made available to you by or on behalf of Prismforce Inc (“Prismforce,” “we,” “us,” or “our”) (collectively, the “Services”).

‍

The Services may be provided directly under the Prismforce name or may be made available through a customer under a different name or brand as a white-labelled application. Where the Services are provided through a customer or organization, references to the “Customer” mean the organization that has engaged Prismforce to provide the Services.

‍

By accessing or using the Services, you acknowledge that you have read and understood these Terms and agree to comply with them. If you do not agree to these Terms, you should not access or use the Services.

‍

‍

Prismforce provides cloud-based workforce management, talent management, skills assessment, recruitment, interview, and related technology solutions. Depending on the Services subscribed to by the Customer, the platform may include functionality such as skills profiling, assessments, interviews, recommendations, analytics, reporting, and artificial intelligence or machine learning-enabled features.

‍

The specific functionality available to you will depend on the Services purchased or enabled by the Customer.

‍

Where the Services are accessed through a Customer, the Customer may determine the features, functionality, access permissions, and configurations available to you.

‍

‍

‍

‍

3. Account and Access Credentials

Where the Services require an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your account, except to the extent caused by Prismforce's acts or omissions.

‍

You must:

‍

  • keep your credentials confidential;
  • not share your account or credentials with unauthorized individuals;
  • promptly notify the Customer or Prismforce if you suspect unauthorized access or use; and
  • log out of the Services when appropriate, particularly when using shared or public devices.

Prismforce may suspend or restrict access where reasonably necessary to protect the security, integrity, or availability of the Services or to address suspected unauthorized access or misuse.

‍

‍

4. Acceptable Use

You agree not to:

‍

  • use the Services for any unlawful, fraudulent, abusive, or unauthorized purpose;
  • attempt to gain unauthorized access to the Services, another user's account, or any related system or network;
  • interfere with or disrupt the operation or security of the Services;
  • introduce malware, malicious code, viruses, or other harmful material;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the Services, except where such restriction is prohibited by applicable law;
  • circumvent security, authentication, access-control, or other technical measures;
  • scrape, copy, reproduce, or systematically extract information from the Services except as expressly permitted;
  • use automated means to access the Services in a manner that could adversely affect their operation;
  • impersonate another person or misrepresent your identity or affiliation; or
  • use the Services in a manner that infringes the rights of Prismforce, the Customer, or any third party.

‍

5. Customer Data and Personal Information

Where the Services are provided to you through a Customer, information and content submitted to or processed through the Services on behalf of the Customer (“Customer Data”) generally remains subject to the agreement between Prismforce and the Customer.

‍

Depending on the nature of the Services and the applicable data protection laws, the Customer may act as the data controller/business and Prismforce may act as the data processor/service provider in relation to Customer Data.

‍

Prismforce processes Customer Data in accordance with its contractual obligations to the Customer and applicable data protection requirements.

‍

For information about how Prismforce processes personal information in connection with its Services, please refer to the applicable Privacy Policy.

‍

The Privacy Policy explains how Prismforce may collect, use, disclose, retain, and protect personal information in connection with the Services and describes applicable privacy rights and choices.

Where the Services are used for recruitment, talent management, skills assessment, interviews, or other employment-related purposes, users and Customers remain responsible for making appropriate decisions and applying relevant human oversight.

‍

Prismforce may implement technical, organizational, and governance measures designed to promote the security, reliability, privacy, and responsible use of AI Features.

You retain any rights you may have in content or information that you are authorized to submit to the Services, subject to the rights granted to Prismforce and the Customer under the applicable agreements.

‍

‍

9. Feedback

If you provide suggestions, comments, recommendations, or other feedback regarding the Services, Prismforce may use such feedback to improve its products and services without restriction, provided that such use does not identify you or disclose your confidential information except as permitted by applicable law or agreement.

‍

‍

10. Third-Party Services and Links

The Services may integrate with or provide links to third-party applications, websites, or services.

‍

Third-party services are subject to their own terms and privacy policies. Prismforce is not responsible for third-party services except to the extent expressly provided under an applicable agreement.

‍

‍

11. Availability and Changes to the Services

Prismforce may update, modify, enhance, or discontinue features of the Services from time to time.

Where the Services are provided under a Customer agreement, material changes that are subject to contractual commitments will be handled in accordance with the applicable agreement.

‍

Prismforce does not guarantee that every feature will always be available or that the Services will be uninterrupted or error-free, except to the extent expressly committed under an applicable agreement or service level terms.

‍

‍

12. Security

Prismforce maintains technical and organizational measures designed to protect the Services and information processed through them against unauthorized access, loss, misuse, alteration, or disclosure.

‍

  • you violate these Terms;
  • your use presents a security or operational risk;
  • required by law or a competent authority; or
  • the Customer's subscription or agreement for the Services ends or is suspended.

Termination or suspension of access does not affect provisions that by their nature should continue to apply.

‍

Prismforce does not warrant that the Services will be completely uninterrupted, error-free, or suitable for every particular purpose.
